Any coaching, mentoring, speaking, workshop or advisory engagement is subject to the separate proposal, booking confirmation or service agreement agreed between us and the relevant client. Where a separate written agreement applies to a service, that agreement will govern the specific engagement. These website terms will continue to apply to website use unless the separate agreement expressly provides otherwise. Nothing in these terms is intended to exclude or restrict any rights that cannot lawfully be excluded or restricted.

3. Use of the website

You may use this website for lawful purposes and to learn about our services, contact us, enquire about working with us and access resources we make available. 4. Information on the website

We aim to ensure that information on this website is accurate and up to date. However, website content is provided for general information and may be amended from time to time. Descriptions of our services, examples, case studies and testimonials are intended to illustrate our approach and experience. They do not guarantee that a particular outcome will be achieved by every client. The website does not constitute professional advice tailored to your individual circumstances. You should discuss your requirements with us before deciding whether to engage our services.

5. Our services and enquiries

Information on this website describes the types of services we may provide, including executive coaching, mentoring, keynote speaking, group coaching, workshops, leadership development and advisory support. Website descriptions are not, by themselves, an offer to provide services or a binding commitment to accept an engagement. Our usual process is to discuss your requirements, establish the proposed scope and objectives, and provide a proposal or written confirmation setting out the relevant commercial terms. A service engagement will begin only when the relevant terms have been agreed by both parties in writing, unless otherwise expressly agreed. The relevant service agreement or proposal will set out matters such as: • The services and deliverables included. • Dates, duration and delivery arrangements. • Fees, expenses and payment deadlines. • Cancellation, postponement and rescheduling arrangements. • Any agreed responsibilities, limitations or additional conditions. Any changes to an agreed scope should be confirmed in writing.

6. Fees, payments and cancellations

Fees and payment arrangements for our services will be confirmed in the relevant proposal or service agreement. Where applicable, the agreement will specify whether fees are payable in advance, by instalments or following delivery, and whether expenses or other costs are additional. Cancellation, postponement, termination, refunds and rescheduling will be governed by the relevant service agreement, subject to applicable law. Where you are a consumer, nothing in these terms or a service agreement is intended to remove or restrict any statutory cancellation, refund or other rights that apply to you. If a service is agreed at a distance or away from business premises, additional consumer information and cancellation requirements may apply. Where relevant, we will provide the required information and cancellation arrangements separately.

7. Intellectual property

Unless otherwise stated, the intellectual property rights in this website and its content belong to Laura Brown Advisory Ltd or are used with permission. This includes, where applicable, our written content, frameworks, models, exercises, templates, presentations, downloadable guides, assessment tools, branding and other materials. You may view the website and download or print materials that we expressly make available for your personal use or internal business development, subject to any specific terms accompanying those materials. Unless we have given prior written permission or the law allows it, you must not: • Reproduce or republish our materials for commercial distribution. • Sell, license or otherwise commercially exploit our materials. • Present our materials as your own original work. • Adapt or incorporate our materials into products, programmes or services offered to third parties. • Remove copyright notices or other ownership information. Purchasing or receiving a service does not transfer ownership of our intellectual property. Any additional rights granted to a client will be set out in the relevant service agreement.

8. Free downloads and resources

We may offer free guides, assessment tools, worksheets and other resources through our website. These resources are provided for general personal or internal business use and are intended to support reflection, learning and professional development. They are not a substitute for individual coaching, professional advice or an assessment of your particular circumstances. Unless expressly agreed otherwise, you may not reproduce, distribute, resell, publish or use these resources commercially, or incorporate them into a paid service or training programme, without our prior written permission. We may update, replace or withdraw resources from the website. We do not guarantee that every resource will remain available indefinitely.

9. Coaching, mentoring and advisory disclaimer

Coaching, mentoring and advisory services are intended to support reflection, development, decision-making and professional effectiveness. We use reasonable skill and care when delivering our services. However, outcomes depend on many factors, including the client's circumstances, decisions, actions and implementation of recommendations. We do not guarantee any particular professional, personal, financial or business result. Coaching and mentoring are not a substitute for medical treatment, psychological therapy, legal advice, financial advice or other regulated professional services where those services are required. Clients remain responsible for their own decisions, actions and implementation of any ideas or recommendations arising from an engagement. The scope and limitations of a particular service will be explained in the relevant agreement.

10. Keynote speaking, workshops and group programmes

The details of any keynote, workshop, group coaching programme or leadership development engagement will be agreed separately in writing. The relevant agreement may specify the content, objectives, duration, participant numbers, location, delivery format, materials, preparation requirements, fees and expenses. Unless expressly agreed otherwise: • The provision of a keynote or workshop does not include additional consultancy, follow-up work or bespoke content development beyond the agreed scope. • Participants remain responsible for their own decisions and actions arising from the session. • Materials provided remain subject to the intellectual property provisions of these terms and any additional licence agreed in writing. • Recording, filming, distributing or republishing presentations or materials requires our prior written permission, subject to any rights that cannot lawfully be restricted. For group coaching and workshops, participants are expected to respect the privacy of others and not disclose personal information shared by other participants. We cannot guarantee that every participant will maintain confidentiality, and this expectation should be communicated clearly to participants before a programme begins.

11. Confidentiality and personal information

Information submitted through the website will be handled in accordance with our Privacy Policy and applicable data protection law. The confidentiality arrangements for coaching, mentoring, advisory work and other commissioned services will be set out in the relevant service agreement. A website enquiry does not, by itself, create a confidential coaching relationship or a professional engagement. Please avoid sending highly sensitive or confidential information through general website forms unless this is necessary and appropriate.

12. Third-party websites and services

Our website or service delivery may link to, or make use of, third-party websites and platforms, including booking, calendar, video-conferencing, email or resource-hosting services. Third-party services operate under their own terms and privacy policies. We do not control the content, availability or policies of external websites. You should review the applicable terms and privacy information before using third-party services. Our use of third-party providers in connection with personal information is explained further in our Privacy Policy.

13. Website availability and security

We take reasonable steps to maintain the website, but we do not guarantee that it will be secure, error-free, continuously available or compatible with every device or browser. You are responsible for using appropriate security measures when accessing the internet and downloading files. To the extent permitted by law, we are not responsible for disruption caused by circumstances beyond our reasonable control or by third-party systems on which the website depends.

14. Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. Where you use the website as a consumer, nothing in these terms affects your statutory rights. To the fullest extent permitted by law, we exclude liability for losses arising from reliance on general website information that is not intended to constitute advice tailored to your circumstances, or from temporary website unavailability or third-party website content. Any liability arising from a commissioned coaching, mentoring, speaking, workshop or advisory engagement will be addressed in the relevant service agreement, subject to applicable law. We will not exclude or restrict any liability where doing so would be unlawful. Any limitation of liability in a service agreement must be read subject to this principle.

15. Privacy and cookies

We process personal information in accordance with our Privacy Policy, which explains the information we collect, why we use it, how long we retain it and the circumstances in which it may be shared. Our website may use cookies or similar technologies. Information about the technologies used, their purposes and any choices available to you will be provided through our cookie information and consent controls where required. Please consult these documents for further details.

16. Changes to these terms

We may update these website Terms & Conditions from time to time. The latest version will be published on this page with its updated date. Changes will apply to website use from the date they take effect. A change to these website terms will not, by itself, amend the terms of an existing service agreement. Any change to an existing engagement must be agreed in accordance with that agreement and applicable law.

17. Governing law and jurisdiction

These website Terms & Conditions are governed by the laws of England and Wales. Subject to any mandatory rights or jurisdictional protections that apply, the courts of England and Wales will have jurisdiction over disputes relating to these terms.
